BREWER, 15 Counterclaim Plaintiff, v. 16 MONEY MAILER, LLC, et al., 17 Counterclaim Defendants. 18 19 This matter comes before the Court on defendant Wade G. Brewerâs âMotion for Partial 20 Summary Judgment.â Dkt. # 247. Brewer argues that Money Mailer Franchise Corporation and 21 Money Mailer, LLC (hereinafter, âMoney Mailerâ or âthe franchisorâ) violated the Franchise 22 Investment Protection Act (âFIPAâ) by selling products and services to its franchisees âfor more 23 than a fair and reasonable priceâ (RCW 19.100.180(2)(d)) and by failing to disclose a material 24 fact that was necessary to make its other disclosures not misleading under all the circumstances 25 (RCW 19.100.170(2)). Brewer also seeks judgment as a matter of law on his Consumer 26 27 ORDER DENYING DEFENDANT BREWERâS 1 Protection Act (âCPAâ) claim, either because the FIPA violations are per se unfair or deceptive 2 acts in trade or commerce or because advertising low franchise fees while secretly inflating 3 charges for products and services is unfair and deceptive conduct. 4 Summary judgment is appropriate when, viewing the facts in the light most favorable to 5 the nonmoving party, there is no genuine issue of material fact that would preclude the entry of 6 judgment as a matter of law. The party seeking summary dismissal of the case âbears the initial 7 responsibility of informing the district court of the basis for its motionâ (Celotex Corp. v. 8 Catrett, 477 U.S. 317, 323 (1986)) and âciting to particular parts of materials in the recordâ that 9 show the absence of a genuine issue of material fact (Fed. R. Civ. P. 56(c)). Once the moving 10 party has satisfied its burden, it is entitled to summary judgment if the non-moving party fails to 11 designate âspecific facts showing that there is a genuine issue for trial.â Celotex Corp., 477 U.S. 12 at 324. The Court will âview the evidence in the light most favorable to the nonmoving party . . . 13 and draw all reasonable inferences in that partyâs favor.â Colony Cove Props., LLC v. City of 14 Carson, 888 F.3d 445, 450 (9th Cir. 2018). Although the Court must reserve for the trier of fact 15 genuine issues regarding credibility, the weight of the evidence, and legitimate inferences, the 16 âmere existence of a scintilla of evidence in support of the non-moving partyâs position will be 17 insufficientâ to avoid judgment. City of Pomona v. SQM N. Am. Corp., 750 F.3d 1036, 1049 (9th 18 Cir. 2014); Anderson v. Liberty Lobby, Inc., 477 U.S. 242, 252 (1986). Factual disputes whose 19 resolution would not affect the outcome of the suit are irrelevant to the consideration of a motion 20 for summary judgment. S. Cal. Darts Assân v. Zaffina, 762 F.3d 921, 925 (9th Cir. 2014). In 21 other words, summary judgment should be granted where the nonmoving party fails to offer 22 evidence from which a reasonable fact finder could return a verdict in its favor. Singh v. Am. 23 Honda Fin. Corp., 925 F.3d 1053, 1071 (9th Cir. 2019). 24 25 26 27 ORDER DENYING DEFENDANT BREWERâS 1 Having reviewed the memoranda, declarations, and exhibits submitted by the parties,1 and 2 taking the evidence in the light most favorable to Money Mailer, the Court finds as follows: 3 A. âFair and Reasonable Price,â RCW 19.100.180(2)(d) 4 In response to questions certified by this Court, the Washington Supreme Court 5 concluded that determining what is a âfair and reasonable priceâ for purposes of RCW 6 19.100.180(2)(d) requires consideration of âmarket forces writ broadly.â Dkt. # 233 at 13. While 7 the price at which the franchisor acquired the product or service is relevant, the Supreme Court 8 made clear that that price does not necessarily establish the âfair and reasonable priceâ of the 9 product or service. The Supreme Court provided a list of additional factors the fact finder may 10 consider when determining âfair and reasonable prices,â including: 11 ! prices paid by competitor franchisors for the product or service; 12 ! prices charged by competitor franchisors for the product or service; 13 ! consistency of prices paid and/or charged by franchisors in the industry; 14 ! profit margin of the franchisor; 15 ! prices charged to other franchisees by the franchisor; 16 ! business and industry practices; 17 ! the price at which the franchisee could obtain the product or service elsewhere; and 18 ! any value added to the product or service by the franchisor. 19 Id. at 13-14. âOther market forces can apply; this list is not exhaustive. Nor is it exclusive or 20 mandatory: not every factor need be referenced or used.â Id. at 14. The Court found that what is 21 a âfair and reasonable priceâ is a factual question that turns on âwhat prudent franchisees and 22 franchisors in similar circumstances would regard as an appropriate price.â Id. at 8. 23 1 This matter can be decided on the papers submitted. Brewerâs request for oral argument is 24 therefore DENIED. Money Mailerâs motion to strike (Dkt. # 250 at 7-8) is also DENIED. The Court 25 considers the unsupported statements of fact or law in Brewerâs papers to be nothing more than argument. In the absence of supporting evidence, the arguments are not likely to be persuasive, but that 26 does not necessarily make them inadmissable or improper. 27 ORDER DENYING DEFENDANT BREWERâS 1 After reviewing the Supreme Courtâs decision, the Court found that there was evidence in 2 the record regarding the price of comparable printing services on the wholesale market, the price 3 a competitor franchisor charges its franchisees, the price other franchisees pay for the printing 4 services, the price Brewer agreed to pay for the printing services, value-added services included 5 in the âprinting servicesâ for which Brewer paid, and the price Brewer would have had to pay to 6 obtain the printing services elsewhere. Dkt. # 234 at 3. Much of this evidence arguably supports 7 Money Mailerâs position that the prices it charged Brewer were fair and reasonable. Because 8 Money Mailer had raised a genuine issue of fact regarding the fairness and reasonableness of its 9 charges, the Court found that Brewer was not entitled to judgment as a matter of law on his 10 claim under RCW 19.100.180(2)(d). 11 In this motion, Brewer again seeks judgment on the âfair and reasonablenessâ issue. He 12 has not, however, offered any new evidence or argument regarding most of the factors identified 13 by the state Supreme Court. Brewer simply contends that âMoney Mailerâs printing charges for 14 twice what they cost is not âfair and reasonableâ as a matter of lawâ even if market forces writ 15 broadly are considered. Dkt. # 247 at 8; Dkt. # 253 at 13. The Court has already found that there 16 is evidence from which the fact finder could reasonably conclude that Money Mailer was 17 charging fair and reasonable prices for its products and services despite the markup. 18 Reconsideration of that finding is not warranted and, because there is a genuine issue regarding 19 the fairness and reasonableness of Money Mailerâs charges, summary judgment on the RCW 20 19.100.180(2)(d) claim is inappropriate. 21 B. Failure to Disclose a Material Fact, RCW 19.100.170(2) 22 FIPA makes it âunlawful for any person in connection with the offer, sale, or purchase of 23 any franchiseâ to make a communication âwhich . . . omits to state a material fact necessary in 24 order to make the statements made in light of the circumstances under which they were made not 25 misleading.â RCW 19.100.170(2). Brewer argues that Money Mailerâs failure to disclose that it 26 charges franchisees more for products and services than it pays violates this provision. In his 27 ORDER DENYING DEFENDANT BREWERâS 1 motion, Brewer makes no attempt to explain why such a disclosure was required to make Money 2 Mailerâs offering documents not misleading, especially given the fact that Money Mailer fully 3 disclosed the printing and other costs Brewer would incur per mailing and in total.2 When 4 Money Mailer pointed out this deficiency, Brewer identified a provision of the offering 5 documents that states: 6 MMLLC, our only approved supplier for these services and materials, makes these services available to you at its customary prices, rates, terms and conditions for 7 similar purchasers, which are subject to change periodically with 30 daysâ written 8 notice. 9 Dkt. # 253 at 2. 10 It is unclear what part of this statement is misleading in the absence of a disclosure that 11 Money Mailer charges its franchisees more than it pays for printing services. The offering 12 documents simply state that Money Mailer will charge Brewer at âits customary prices,â the 13 same ones it charges other franchisees. Money Mailer told Brewer what those prices were. 14 Whether or not the disclosed charges exceeded Money Mailerâs costs does not make the 15 identified statement more or less misleading. Brewer makes no effort to show that he was 16 charged a price that was outside the norm for Money Mailer or that was different from that 17 charged other franchisees. He has not shown, as a matter of law, that Money Mailer violated 18 RCW 19.100.170(2).3 19 20 2 Brewer does not contend that the cost information provided was inaccurate. 21 3 Brewer also cites a provision in the franchise disclosure document stating that the printing, 22 production, distribution, and mailing services provided by Money Mailer are material benefits offered to franchisees under the franchise agreement. Dkt. # 253 at 7. The inaccuracy in this statement has not 23 been identified. Brewer is not entitled to a determination as a matter of law that this statement, which was accompanied by a list of charges associated with the services provided by Money Mailer, was 24 misleading simply because the benefit conferred would have been greater had Money Mailer provided 25 the services at cost. To the extent Brewerâs RCW 19.100.170(2) claim is based on the assertion that any reasonable 26 franchisee would want to know how the franchisor makes its money and whether or not the franchisorâs 27 ORDER DENYING DEFENDANT BREWERâS 1 C. Consumer Protection Act, RCW 19.86.0001 et seq. 2 There are disputed issues of fact as to the existence of an unfair and deceptive act. Brewer 3 has not established a per se unfair and deceptive practice in the form of a FIPA violation, nor has 4 he shown that, as a matter of law, (a) accurate price and royalty information becomes deceptive 5 when a seller fails to disclose its own costs or (b) Money Mailerâs markups were so large and 6 unreasonable as to be unfair. 7 8 For all of the foregoing reasons, Brewerâs motion for partial summary judgment (Dkt. 9 247) is DENIED. 10 11 12 Dated this 6th day of July, 2020.
